Terms and Conditions

1.Introduction

Welcome to Platerly ("the Platform", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Platerly platform, including the admin dashboard at portal.platerly.app, the public menu pages at platerly.app, and all related services.

By creating an account or accessing any part of the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2.Definitions

TenantThe account holder — a company, group, or individual that registers on the Platform
OwnerThe user who creates and controls a Tenant account
BusinessA single venue (restaurant, cafe, bar, etc.) created under a Tenant account
Staff MemberA user invited by an Owner to access one or more Businesses
Public MenuThe publicly accessible menu page generated for a Business
VisitorAny person who views a Public Menu page
ContentAll data, text, images, prices, descriptions, and other information submitted to the Platform

3.Eligibility

3.1You must be at least 18 years old to create a Tenant account.

3.2By registering, you represent that all information you provide is accurate, complete, and up to date.

3.3You may only create one Tenant account per legal entity. Duplicate accounts may be suspended without notice.

3.4You are responsible for ensuring that your use of the Platform complies with all laws and regulations applicable in your jurisdiction.

4.Account Registration and Security

4.1To access the Platform, you must register and create an account with a valid email address and password.

4.2You are solely responsible for maintaining the confidentiality of your account credentials.

4.3You must notify us immediately at support@platerly.app if you suspect any unauthorized access to your account.

4.4We are not liable for any loss or damage arising from unauthorized use of your account resulting from your failure to safeguard your credentials.

5.Business Accounts and Staff

5.1As an Owner, you may create one or more Businesses under your Tenant account.

5.2You may invite Staff Members to access your Businesses. You are responsible for all actions taken by Staff Members under your account.

5.3You may assign Staff Members the role of Manager (edit access) or Staff (view only). Role permissions are enforced by the Platform.

5.4You are responsible for revoking access for any Staff Member who should no longer have access to your account.

6.Content and Accuracy

6.1You retain ownership of all Content you submit to the Platform.

6.2By submitting Content, you grant Platerly a non-exclusive, worldwide, royalty-free license to store, display, and deliver that Content for the purpose of operating the Platform, including displaying your Public Menu to Visitors.

6.3You are solely responsible for the accuracy, completeness, and legality of all Content you publish, including but not limited to:

  • Menu item names, descriptions, and prices
  • Ingredient lists
  • Allergen information
  • Business details, opening hours, and contact information

6.4Allergen disclaimer: Platerly displays allergen information exactly as entered by you. We do not verify, validate, or supplement allergen data. You acknowledge that publishing inaccurate allergen information may cause serious harm to Visitors and may expose you to legal liability. It is your sole responsibility to ensure all allergen information is accurate and kept up to date.

6.5You must not submit Content that is false, misleading, unlawful, infringing, defamatory, or harmful.

6.6We reserve the right to remove any Content that violates these Terms, without prior notice.

7.Public Menu Pages

7.1Each Business you activate receives a unique public URL (slug) which makes your menu accessible to Visitors worldwide.

7.2The Public Menu is read-only. No ordering, payment, or personal data collection from Visitors occurs through the Public Menu in the current version of the Platform.

7.3Any external links displayed on your Public Menu (social media, Google Maps, website) direct Visitors away from the Platform. We are not responsible for the content of external websites.

7.4You are responsible for ensuring your Public Menu complies with all applicable laws in the regions where your business operates, including consumer protection, food labelling, and accessibility requirements.

8.Acceptable Use

You agree not to:

8.1Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.

8.2Submit false, misleading, or fraudulent Content, including inaccurate prices, allergens, or business information.

8.3Attempt to gain unauthorized access to any part of the Platform or another Tenant's account.

8.4Interfere with or disrupt the integrity or performance of the Platform.

8.5Use automated tools (bots, scrapers, crawlers) to access the Platform without our prior written consent.

8.6Reverse engineer, decompile, or attempt to extract the source code of the Platform.

8.7Resell or sublicense access to the Platform without our prior written consent.

9.Intellectual Property

9.1The Platform, including its software, design, trademarks, and all non-user Content, is the exclusive property of Platerly and its licensors. All rights are reserved.

9.2Nothing in these Terms transfers ownership of the Platform or any of its components to you.

9.3You retain full ownership of your Content. We claim no intellectual property rights over it beyond the license described in Section 6.2.

10.Free Trial

10.1We may offer a free trial period to new Tenant accounts ("Free Trial"). The duration of the Free Trial will be stated at the point of registration.

10.2No payment method is required to start a Free Trial unless explicitly stated.

10.3At the end of the Free Trial, your account will either be converted to a paid subscription or your access to paid features will be restricted. You will be notified before this happens.

10.4We reserve the right to modify, shorten, or discontinue the Free Trial offering at any time without notice to prospective users.

10.5Free Trial accounts are subject to all other provisions of these Terms.

11.Subscription and Payment

11.1Access to full Platform features requires a paid subscription. Pricing and available plans are displayed at the point of purchase on portal.platerly.app.

11.2Subscriptions are available on a monthly or annual basis. The billing period begins on the date your paid subscription starts.

11.3Subscription fees are charged in advance at the start of each billing period.

11.4You authorize us to charge your payment method automatically on a recurring basis for the applicable subscription fee.

11.5All fees are displayed exclusive of any applicable taxes. You are responsible for any taxes applicable in your jurisdiction.

11.6We reserve the right to modify pricing with at least 30 days' notice. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.

11.7If your payment fails, we will notify you and may suspend your account until the outstanding payment is resolved.

11.8Payment processing is handled by a third-party payment processor. We do not store your card details.

12.Refunds and Cancellations

Please refer to our Refund Policy for full details. In summary:

  • Monthly subscriptions are non-refundable once the billing period has started.
  • Annual subscriptions may be eligible for a prorated refund within 14 days of purchase.
  • Free Trial periods are not eligible for refunds.

13.Suspension and Termination

13.1You may cancel your subscription and terminate your account at any time through the admin dashboard or by contacting us at support@platerly.app.

13.2We reserve the right to suspend or terminate your account immediately, without notice, if you:

  • Violate any provision of these Terms
  • Submit false or fraudulent Content
  • Engage in behavior that harms the Platform, other Tenants, or Visitors
  • Fail to pay applicable fees after reasonable notice

13.3Upon termination, your Public Menu pages will be taken offline. We may retain your Content for up to 90 days for backup purposes, after which it will be permanently deleted.

13.4Sections 6, 9, 15, 16, and 17 survive termination.

14.Availability and Uptime

14.1We aim to maintain reasonable availability of the Platform but do not guarantee uninterrupted access.

14.2The Platform is provided "as is" and "as available." We may perform maintenance, updates, or experience downtime without prior notice.

14.3We are not liable for any loss or damage resulting from Platform unavailability.

15.Disclaimers

16.1THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

16.2WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.

16.3WE DO NOT VERIFY THE ACCURACY OF ANY CONTENT SUBMITTED BY TENANTS, INCLUDING ALLERGEN INFORMATION, PRICES, OR BUSINESS DETAILS.

16.Limitation of Liability

16.1TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Platerly AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

16.2OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

16.3SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

17.Indemnification

You agree to indemnify, defend, and hold harmless Platerly and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

17.1Your use of the Platform in violation of these Terms.

17.2Content you submit, including any claims related to inaccurate allergen information or misleading menu data.

17.3Any infringement of third-party rights by your Content.

18.Privacy and Cookies

Your use of the Platform is governed by our Privacy Policy and Cookie Policy, both of which are incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your data as described in those documents.

19.Third-Party Services

19.1The Platform integrates with or links to third-party services (e.g. payment processors, mapping services, social media platforms). These services are governed by their own terms and privacy policies.

19.2We are not responsible for the availability, accuracy, or practices of any third-party service.

20.Changes to These Terms

20.1We reserve the right to update these Terms at any time.

20.2We will notify you of material changes via email or a prominent notice in the Platform at least 14 days before the changes take effect.

20.3Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

20.4If you do not agree to the updated Terms, you must stop using the Platform and may terminate your account.

21.Governing Law and Dispute Resolution

21.1These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

21.2Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

21.3If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of [Your Jurisdiction].

21.4Nothing in this section limits your rights as a consumer under the applicable laws of your country of residence.

22.Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

23.Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Platerly regarding the use of the Platform and supersede all prior agreements, understandings, or representations.
